Securitize gains SEC registration for investment adviser
Securitize Capital LLC registered with the SEC as an investment adviser, completing the firm’s U.S. regulated stack with an ATS broker-dealer, transfer agent and fund administration.
Securitize Capital LLC, a unit of publicly traded Securitize, registered with the U.S. Securities and Exchange Commission as an investment adviser, the company disclosed Monday. The registration completes Securitize's U.S. regulated stack, which now includes an SEC-registered broker-dealer that runs an alternative trading system, an SEC-registered transfer agent and fund administration services.
The SEC registration allows Securitize Capital to provide advisory services to asset managers and institutional investors on tokenized investment strategies and to work with traditional investment firms on products built for on-chain markets. The advisory function will operate alongside the firm's existing trading, transfer and fund administration services on its U.S. platform.
Securitize operates a platform that tokenizes securities. The company's broker-dealer operates an ATS to facilitate secondary trading of tokenized assets, the transfer agent maintains investor records and the fund administration arm handles accounting and compliance for tokenized funds.
Carlos Domingo, Securitize's chief executive, called the registration ‘an important step in the continued expansion of Securitize's platform.' He added that asset managers and institutional investors seek partners that understand tokenization and the obligations of regulated markets.
Other firms have expanded into registered advisory services. Coinbase and Kraken launched SEC-registered investment advice platforms that use AI, Galaxy Digital operates asset management through Galaxy Digital Capital Management LLC, and Anchorage Digital expanded its registered adviser business after acquiring Securitize For Advisors in December 2025.
As an SEC-registered investment adviser, Securitize Capital must follow rules on fiduciary duty, disclosures and recordkeeping for advisory clients. The registration allows the firm to design and manage investment strategies, provide ongoing portfolio advice and offer advisory services to institutional investors and registered funds that use tokenized structures.
